Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Chargefend website and services (the “ Service”), operated by J. N. S. COMERCIO & PRESTACAO DE SERVICOS LTDA (CNPJ 53.076.754/0001-91) (“Chargefend”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

The Service

Chargefend provides chargeback and dispute prevention tooling that connects to your payment gateways and to card-network dispute rails (such as Ethoca and Verifi) to receive pre-dispute alerts, match them to your transactions, and help you resolve them before they become chargebacks.

Eligibility & Accounts

• You must be at least 18 years old and able to form a contract.
• You are responsible for the accuracy of your account information and for keeping your credentials secure.
• You are responsible for all activity that occurs under your account.

Plans, Billing & Renewals

• Paid plans are billed in advance on a recurring basis at the prices shown at checkout. Fees are billed by J. N. S. COMERCIO & PRESTACAO DE SERVICOS LTDA.
• Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
• Alert overages and usage-based charges, where applicable, are billed according to the plan you selected.
• Prices are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.

Cancellations & Refunds

You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable. Any refund or credit is at our discretion.

Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or related systems.
• Reverse engineer, resell, or misuse the Service except as expressly permitted.

Third-Party Services & Networks

The Service relies on third parties, including your payment gateways and card-network dispute rails. We do not control those parties and are not responsible for their availability, decisions, or acts. Your use of them is subject to their own terms.

No Guarantee of Results

Chargeback and dispute outcomes depend on factors outside our control, including issuer and network behavior and the timeliness and accuracy of data from third parties. Any figures on our website are illustrative. We do not guarantee that any specific dispute will be prevented or that any particular reduction in chargebacks will be achieved.

Intellectual Property

The Service, including its software, content, and trademarks, is owned by Chargefend or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of your data.

Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, Chargefend and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Chargefend and its affiliates from claims, damages, and expenses arising out of your use of the Service or your breach of these Terms.

Termination

We may suspend or terminate your access to the Service if you breach these Terms or if required for security, legal, or operational reasons. Upon termination, your right to use the Service ends.

Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws principles, and the courts of Brazil will have jurisdiction, except where mandatory local consumer law provides otherwise.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
